BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. If you do not agree, you may not use the Services.
IMPORTANT: VeriDeal is currently operated as a beta service. The Services are provided "AS-IS" and "AS AVAILABLE" with inherent limitations described throughout these Terms. Please read Section 12 (Beta Service Notice and Disclaimers) carefully.

2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
By using the Services, you represent and warrant that:

- All information you provide is accurate, current, and complete
- You are not prohibited from using the Services under any applicable law
If you are accessing the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration and Security
3.1 Account Creation
To access certain features, you must create an account. When creating an account:
- You must provide accurate, complete, and current information
- You must keep your account information updated
- You must not impersonate any person or entity
- You must not create an account for fraudulent purposes
3.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You are responsible for all activity that occurs under your account
- You must immediately notify us of any unauthorized access or security breach
- You must use a strong, unique password and enable two-factor authentication if available
3.3 Account Suspension or Termination
We reserve the right to suspend or terminate accounts that:
- Contain false or misleading information
- Violate these Terms or our Privacy Policy
- Engage in fraudulent or illegal activities
- Pose security risks to the Services or other users
- Remain inactive for extended periods
4. Subscriptions, Billing, and Refunds
4.1 Subscription Plans
Some features require a paid subscription. Pricing, plan details, and available features are specified at the point of purchase and may change with notice.
4.2 Payment Processing
- Payments are processed securely by third-party providers (e.g., Stripe)
- By providing payment information, you authorize us to charge you according to your selected plan
- You represent that you have the legal right to use the payment method provided
- You agree to pay all fees and applicable taxes
4.3 Automatic Renewals
- Unless canceled, subscriptions automatically renew at the end of each billing cycle
- You will be notified before each renewal via email
- Renewal charges will be at the then-current subscription rate
- You may cancel auto-renewal through your account settings at any time
4.4 Refund Policy
Our refund policy is as follows:
- General Policy: We generally do not issue refunds once a billing period has begun
- Error Claims: If you believe you were charged in error, contact us at contact@VeriDeal.io within 7 days of the charge, and we will review your request
- Discretionary Refunds: We may, at our sole discretion, issue partial or full refunds in exceptional cases (e.g., service outages, billing errors, duplicate charges)
- Beta Period: Given the beta status of the Services, refunds may be issued on a case-by-case basis for material service failures
Refund requests must include:
- Your account email address
- Transaction details and date
- Detailed explanation of the issue
4.5 Cancellations
- You may cancel your subscription at any time through your account settings
- Cancellation becomes effective at the end of your current billing cycle
- You will retain access to paid features until the end of the paid period
- We do not provide prorated refunds for partial billing periods unless required by law
4.6 Payment Failures
If a payment fails:
- We will attempt to process the payment again
- We may suspend your access to paid features
- You are responsible for any fees resulting from failed payments
- We may terminate your account if payment issues are not resolved
4.7 Taxes
You are responsible for all applicable taxes (sales tax, VAT, GST, etc.) related to your use of the Services. If we are required to collect taxes, they will be added to your invoice.
4.8 Price Changes
We reserve the right to change subscription prices with at least 30 days notice. Price changes will take effect at your next renewal date. Continued use after the effective date constitutes acceptance of the new pricing.
5. Acceptable Use
5.1 Prohibited Activities
You agree NOT to:
Illegal or Harmful Activities:
- Use the Services for any unlawful, harmful, fraudulent, or abusive purposes
- Violate any applicable local, state, national, or international laws or regulations
- Infringe on intellectual property rights, privacy rights, or other rights of third parties
- Transmit or facilitate the distribution of illegal content
Service Interference:
- Attempt to disrupt, disable, overburden, or interfere with the Services operation
- Use automated systems (bots, scrapers, crawlers) without authorization
- Introduce viruses, malware, trojans, or other harmful code
- Attempt to gain unauthorized access to any systems, accounts, or networks
- Bypass security measures, rate limits, or access controls
Misuse of Services:
- Reverse-engineer, decompile, disassemble, or derive source code from the Services
- Copy, modify, distribute, or create derivative works of the Services
- Remove, obscure, or alter copyright notices, trademarks, or proprietary markings
- Resell, lease, or sublicense the Services without authorization
- Use the Services to compete with VeriDeal or build similar products
User Conduct:
- Misrepresent your identity, credentials, or affiliation with any person or entity
- Create multiple accounts to evade restrictions or violate these Terms
- Share your account credentials with others or allow unauthorized access
- Harass, threaten, defame, or abuse other users
- Transmit spam, unsolicited messages, or promotional content through the Services
5.2 Content Restrictions
You may not upload, post, or transmit:
- Illegal content or content that promotes illegal activities
- Malicious code, phishing attempts, or security threats
- Content that infringes intellectual property rights
- False, misleading, or deceptive information
- Personal data of others without their consent
- Obscene, pornographic, or sexually explicit material
- Content that promotes violence, hatred, or discrimination
5.3 Monitoring and Enforcement
We reserve the right to:
- Monitor use of the Services for compliance with these Terms
- Investigate potential violations and take appropriate action
- Remove or disable access to content that violates these Terms
- Suspend or terminate accounts that violate these Terms
- Report illegal activities to law enforcement authorities
- Cooperate with legal investigations and court orders
5.4 Consequences of Violations

6. Intellectual Property Rights
6.1 VeriDeals Proprietary Rights
All software, content, features, functionality, designs, logos, trademarks, interfaces, code, and materials available through the Services (collectively, "VeriDeal Content") are owned by VeriDeal LLC or its licensors and are protected by:
- Copyright laws
- Trademark laws
- Patent laws
- Trade secret laws
- Other intellectual property laws
6.2 Limited License to Users
You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and use the Services for personal or internal business purposes
- Use the Services in accordance with these Terms
- Access content made available through the Services
This license does NOT permit you to:
- Modify, copy, or create derivative works of the Services
- Distribute, sell, rent, lease, or sublicense the Services
- Reverse engineer or attempt to extract source code

6.3 Trademarks
"VeriDeal" and related logos, designs, and trademarks are the property of VeriDeal LLC. You may not use these marks without prior written permission, except as necessary to identify VeriDeal in factually accurate contexts.
6.4 Reservation of Rights
All rights not expressly granted in these Terms are reserved by VeriDeal LLC and its licensors. No implied licenses are granted.
6.5 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Services:
- You grant VeriDeal a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback
- You waive any claims to compensation or attribution
- VeriDeal has no obligation to implement or respond to feedback
7. User Content
7.1 User-Generated Content
"User Content" means any content, data, information, or materials you submit, upload, post, or transmit through the Services, including but not limited to:
- Profile information
- Documents, files, and attachments
- Messages and communications
- Form submissions and responses
- Any other data you provide
7.2 Ownership of User Content
You retain all ownership rights to your User Content. However, by submitting User Content:
You grant VeriDeal a license to:
- Use, store, reproduce, modify, adapt, and display your User Content
- Process your User Content to provide and improve the Services
- Create derivative works for operational purposes
- Distribute your User Content within the Services as necessary
This license is:
- Non-exclusive (you can use your content elsewhere)
- Worldwide (across all jurisdictions)
- Royalty-free (no payment required)
- Sublicensable (to service providers necessary for operations)
- Limited to the purpose of operating and improving the Services
7.3 User Representations and Warranties
You represent and warrant that:
- You own or have all necessary rights to your User Content
- Your User Content does not infringe third-party intellectual property rights
- Your User Content does not violate any laws or regulations
- Your User Content does not contain malicious code or security threats
- You have obtained all necessary consents for any personal data in your User Content
7.4 Content Responsibility
You are solely responsible for:
- The accuracy, legality, and appropriateness of your User Content
- Backing up your User Content (we are not obligated to retain it)
- Any consequences arising from your User Content
- Maintaining necessary rights and permissions
7.5 Content Removal
We reserve the right to:
- Review User Content for compliance with these Terms
- Remove or refuse to display User Content that violates these Terms
- Remove User Content if required by law or legal process
- Disable access to User Content for security or operational reasons
We are not obligated to review User Content but may do so at our discretion.
7.6 No Endorsement
VeriDeal does not endorse any User Content and is not responsible for the accuracy, completeness, or reliability of any User Content.
8. Data Processing and Privacy
8.1 Privacy Policy
Your use of the Services constitutes consent to data processing as described in our Privacy Policy, which is incorporated into these Terms by reference.
8.2 Data Collection and Use
We collect, process, and use your data to:
- Provide and operate the Services
- Process payments and manage subscriptions

- Comply with legal obligations
- Detect and prevent fraud and abuse

- Features may be added, modified, or removed frequently
10.5 No Liability for Interruptions

- Any damages arising from unavailability of the Services
- Lost profits, business opportunities, or productivity

Note: You cannot opt out of essential service communications (e.g., security alerts, billing notices, Terms updates).
12. Beta Service Notice and Disclaimers
12.1 Beta Status
VeriDeal is currently in beta testing. The Services are under active development and are not a final, fully-tested product. By using the Services, you acknowledge and accept the beta nature of the platform.
12.2 Beta Characteristics
During beta, the Services may:
- Contain bugs, errors, or defects
- Experience unexpected downtime or performance issues
- Have incomplete or unstable features
- Change significantly without notice
- Undergo frequent updates and modifications
- Not function as expected or documented
12.3 User Acknowledgment
By using the beta Services, you expressly acknowledge and agree that:
- You are using experimental software
- Features and functionality may change or be removed without notice
- Data processing may be inconsistent or contain errors
- Service availability and performance are not guaranteed
- You may experience data loss, corruption, or access issues
- Security measures, while implemented, may not be fully mature
12.4 AS-IS Disclaimer
THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIDEAL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Accuracy, completeness, or reliability
- Uninterrupted or error-free operation
- Security or freedom from viruses or harmful components
- Compatibility with your systems or equipment
12.5 No Guarantees
We make no guarantees about:
- The accuracy, reliability, or timeliness of the Services
- The completeness or correctness of data processing
- The results you may obtain from using the Services
- The quality, safety, or legality of content available through the Services
12.6 Use at Your Own Risk
YOU USE THE SERVICES ENTIRELY AT YOUR OWN RISK. You are solely responsible for:
- Evaluating whether the Services meet your needs
- Backing up your data independently
- Implementing additional security measures
- Monitoring for errors or issues
- Any decisions made based on information from the Services
12.7 No Professional Advice
The Services are not intended to provide professional advice (legal, financial, medical, or otherwise). Always consult qualified professionals for important decisions.
13. Limitation of Liability
13.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIDEAL LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:
- Indirect damages: Including but not limited to lost profits, lost revenue, lost business opportunities, loss of data, loss of goodwill, or business interruption
- Incidental damages: Arising from or related to your use of the Services
- Consequential damages: Even if foreseeable or if VeriDeal has been advised of the possibility
- Special damages: Of any kind whatsoever
- Punitive or exemplary damages: Regardless of the legal theory
This exclusion applies to claims based on:
- Breach of contract
- Breach of warranty
- Negligence
- Strict liability
- Any other legal theory
13.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIDEALS TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (1) The total amount you paid to VeriDeal for the Services in the 3 months immediately preceding the claim, OR (2) $100 USD
13.3 Beta Period Limitations
You acknowledge that due to the beta status of the Services:
- The risk of service defects, data loss, or security incidents is elevated
- VeriDeals liability is further limited given the experimental nature
- You voluntarily assume these risks by participating in the beta
13.4 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions:
- The above exclusions and limitations shall apply to the fullest extent permitted by applicable law
- VeriDeals liability shall be limited to the minimum extent required by law
13.5 Essential Purpose
You acknowledge that the limitations in this section are essential elements of the agreement between you and VeriDeal, and that VeriDeal would not provide the Services without these limitations.
13.6 Exclusions from Limitation
These limitations do NOT apply to:
- Liability that cannot be excluded or limited by applicable law
- Death or personal injury caused by VeriDeals gross negligence
- Fraud or fraudulent misrepresentation
- Violations of consumer protection laws where limitation is prohibited
14. Indemnification
14.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless VeriDeal LLC, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all:
- Claims, demands, or lawsuits
- Losses, damages, or liabilities
- Costs and expenses (including reasonable attorneys fees)
Arising from or related to:
- Your use of the Services in violation of these Terms
- Your User Content including any infringement or misappropriation of third-party rights
- Your violation of applicable laws or regulations
- Your violation of third-party rights including intellectual property, privacy, or contractual rights
- Your negligence or willful misconduct
- Unauthorized use of your account due to your failure to maintain account security
14.2 Defense and Settlement
VeriDeal reserves the right, at its own expense, to:
- Assume the exclusive defense and control of any matter subject to indemnification
- Require your cooperation in the defense of such claims
- Approve any settlement that affects VeriDeals rights or obligations
You may not settle any claim without VeriDeals prior written consent.
14.3 Notice Requirement
You must promptly notify VeriDeal of any claim for which you may be required to indemnify the Indemnified Parties.
15. Dispute Resolution and Arbitration
15.1 Informal Dispute Resolution
Before filing any formal claim, you agree to first contact us at contact@VeriDeal.io to attempt informal resolution. We will work with you in good faith to resolve disputes amicably.
15.2 Binding Arbitration
Any dispute, claim, or controversy arising from or relating to these Terms or the Services (collectively, "Disputes") shall be resolved through binding arbitration rather than in court, except as provided in Section 15.6.
Arbitration terms:
- Arbitration provider: American Arbitration Association (AAA)
- Rules: AAA Commercial Arbitration Rules
- Location: Delaware (or mutually agreed location)
- Language: English
- Arbitrator selection: One arbitrator mutually agreed upon, or selected per AAA rules
- Decision: The arbitrators decision is final and binding
15.3 Waiver of Class Actions
YOU AND VERIDEAL AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. You waive any right to:
- Participate in class actions or class arbitrations
- Bring claims on behalf of others as a representative or in a private attorney general capacity
- Consolidate your claims with claims of other users
15.4 Waiver of Jury Trial
YOU AND VERIDEAL WAIVE ANY RIGHT TO A JURY TRIAL for any Disputes subject to arbitration under these Terms.
15.5 Costs and Fees
Each party shall bear their own costs and attorneys fees, unless otherwise awarded by the arbitrator or required by law. VeriDeal will pay arbitration filing fees for consumer claims up to the amount required by AAA rules.
15.6 Exceptions to Arbitration
Either party may seek relief in court for:
- Injunctive or equitable relief for intellectual property infringement
- Unauthorized access to systems or other security violations
- Small claims court matters (if they qualify and remain in small claims court)
15.7 Opt-Out Right
You have 30 days from first accepting these Terms to opt out of arbitration. To opt out, send written notice to contact@VeriDeal.io with:
- Your full name and account email
- Clear statement of intent to opt out of arbitration
- Your signature (electronic acceptable)
If you opt out, all other Terms still apply, but disputes will be resolved in court per Section 18.
15.8 Severability
If any portion of this arbitration provision is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable, the entire arbitration provision shall be void.
16. Termination
16.1 Termination by You
You may terminate your account at any time by:
- Using the account closure option in your settings
- Contacting us at contact@VeriDeal.io with a termination request
- Ceasing to use the Services
Termination does not entitle you to refunds for unused portions of paid subscriptions unless required by law.
16.2 Termination by VeriDeal
We may suspend or terminate your account immediately, with or without notice, if:
- You violate these Terms or our Privacy Policy
- You engage in fraudulent, illegal, or abusive activities
- Your account poses security risks to the Services or other users
- We are required to do so by law or legal process
- We discontinue the Services (with reasonable notice when possible)
- Your account remains inactive for extended periods
- We determine, in our sole discretion, that termination is necessary
16.3 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- Your account and User Content may be deleted (subject to our Privacy Policy retention terms)
- Outstanding fees and charges remain due and payable
- You must cease all use of VeriDeal intellectual property
- Provisions regarding liability, indemnification, dispute resolution, and intellectual property survive indefinitely
16.4 Data After Termination
After account termination:
- We will handle your data according to our Privacy Policy retention terms
- Some data may be retained for legal, security, or operational purposes
- You are responsible for backing up any data you wish to retain
- We are not obligated to provide access to or return deleted data
17. Governing Law and Jurisdiction
17.1 Governing Law
These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. International users: You acknowledge that Delaware law may differ from the laws of your jurisdiction.
17.2 Exclusive Jurisdiction
Subject to the arbitration provisions in Section 15, any legal proceedings shall be brought exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction and venue in these courts.
17.3 Waiver of Sovereign Immunity
If you are a government entity, you waive any immunity from jurisdiction or enforcement of judgment to the fullest extent permitted by law.
18. Changes to Terms
18.1 Right to Modify
We may update, modify, or revise these Terms at any time. Changes may be necessary due to:
- Legal or regulatory requirements
- Changes in business practices or Services
- Security or operational needs
- User feedback and improvements
18.2 Notice of Changes
If we make material changes, we will notify you by:
- Posting a notice on the Services at least 30 days before changes take effect
- Sending an email to the address associated with your account
- Displaying a prominent banner or pop-up in the application
For non-material changes (e.g., clarifications, formatting), we may update the Terms without advance notice.
18.3 Effective Date
Changes become effective on the date specified in the notice. The "Effective Date" at the top of these Terms indicates when they were last updated.
18.4 Acceptance of Changes
Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
If you do not agree to the changes:
- You must stop using the Services
- You may close your account as described in Section 16

19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and VeriDeal regarding the Services and supersede all prior agreements, understandings, and communications.
19.2 Severability
If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties intent.
19.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. No waiver shall be effective unless in writing and signed by an authorized representative of VeriDeal.
19.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations without our prior written consent. We may assign these Terms or any rights hereunder without restriction. Any attempted assignment in violation of this provision is void.
19.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein (e.g., indemnified parties).
19.6 Force Majeure
VeriDeal shall not be liable for any failure or delay in performing obligations under these Terms due to causes beyond our reasonable control, including:
- Acts of God (natural disasters, pandemics)
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Cyberattacks or security incidents
- Labor disputes or strikes
19.7 Survival
Provisions that by their nature should survive termination shall survive, including but not limited to:
- Sections 6 (Intellectual Property)
- Section 12 (Disclaimers)
- Section 13 (Limitation of Liability)
- Section 14 (Indemnification)
- Section 15 (Dispute Resolution)
- Section 17 (Governing Law)
19.8 Interpretation
- Headings are for convenience only and do not affect interpretation
- Singular/Plural: Words in singular include plural and vice versa
- Including: "Including" means "including without limitation"
- Or: "Or" is not exclusive unless context requires otherwise
19.9 Electronic Signatures
You consent to electronic signatures and agree that your electronic acceptance of these Terms has the same legal effect as a handwritten signature.
19.10 Language
These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version controls.
20. Export Compliance
You agree to comply with all applicable export control laws and regulations, including those of the United States and your local jurisdiction. You represent that you are not:
- Located in a country subject to U.S. embargo or trade sanctions
- Listed on any U.S. government list of prohibited or restricted parties
- Otherwise prohibited from accessing the Services under applicable law
You will not use the Services for any purpose prohibited by export control laws, including development of weapons of mass destruction.
21. Affiliate Program
21.1 Program Overview
VeriDeal offers an affiliate program ("Affiliate Program") that allows approved participants ("Affiliates") to earn commissions by referring new customers to our Services. Participation is voluntary and subject to these Terms and any additional affiliate program terms.
21.2 Eligibility Requirements
To participate as an Affiliate, you must:
- Be at least 18 years old with legal capacity to contract
- Maintain a legitimate business presence or marketing platform
- Complete the affiliate application process
- Be approved by VeriDeal (approval is at our sole discretion)
- Comply with all applicable laws and these Terms
We reserve the right to:
- Accept or reject any affiliate application without explanation
- Conduct ongoing compliance reviews
- Revoke affiliate status at any time
21.3 Commission Structure
Commission rates and payment terms:
- Commission rates and structure are determined by VeriDeal and communicated through our affiliate platform or dashboard
- Rates may vary based on performance tiers, product types, or promotional periods
- Commission rates may be modified at our discretion with reasonable notice
- Commissions are calculated on net revenue (after refunds, chargebacks, and cancellations)
Payment processing:
- Payments processed monthly (or as specified in the affiliate portal)
- Minimum payment thresholds apply as specified in the affiliate dashboard
- Payment methods may include bank transfer, PayPal, or other methods we designate
- You are responsible for providing accurate payment information
Commission forfeitures:
- Commissions are forfeited for refunded or canceled transactions
- Commissions are forfeited for disputed or fraudulent transactions
- Commissions may be forfeited if customers violate our Terms
- Unclaimed commissions may expire per the affiliate program terms
21.4 Prohibited Activities
Affiliates are strictly prohibited from:
Trademark and Brand Misuse:
- Using "VeriDeal" or our trademarks in paid search advertising (Google Ads, Bing Ads, etc.)
- Registering domain names containing "VeriDeal" or confusingly similar variations
- Bidding on our brand keywords in pay-per-click campaigns
- Creating social media accounts that impersonate VeriDeal
Spam and Unsolicited Communications:
- Sending unsolicited commercial emails or spam
- Adding contacts to email lists without explicit consent
- Engaging in email scraping or list purchasing
- Violating CAN-SPAM Act or similar anti-spam laws
False or Misleading Marketing:
- Making false, misleading, or unsubstantiated claims about our Services
- Guaranteeing results or outcomes that VeriDeal does not guarantee
- Misrepresenting features, pricing, or terms of the Services
- Creating fake reviews, testimonials, or endorsements
Fraudulent Activities:
- Cookie stuffing or forced cookie placement
- Generating artificial traffic or fake clicks
- Self-referrals or referring fake accounts
- Manipulating tracking links or conversion data
- Creating multiple affiliate accounts to circumvent rules
Inappropriate Content and Contexts:
- Promoting through adult, pornographic, or sexually explicit content
- Associating VeriDeal with illegal activities or substances
- Using violent, hateful, or discriminatory content
- Promoting through websites that violate our values or brand image
Competitive Conflicts:
- Promoting competing services alongside VeriDeal without disclosure
- Using affiliate links in ways that benefit competitors
21.5 Marketing Requirements and Disclosures
Mandatory Disclosures: Affiliates MUST clearly and conspicuously disclose their affiliate relationship in all promotional content, including:
- Blog posts, articles, and reviews
- Social media posts and videos
- Email communications
- Podcasts and other audio content
- Any other promotional materials
Disclosure Standards:
- Disclosures must comply with FTC Guidelines (16 CFR Part 255) and similar regulations
- Disclosures must be prominently displayed and easily understood by consumers
- Disclosures must appear before purchase links or calls-to-action
- Use clear language such as "I earn a commission if you purchase through this link"
Examples of Compliant Disclosures:
- "This post contains affiliate links. I may earn a commission if you make a purchase."
- "VeriDeal compensates me when you sign up through my link."
- Social media: #ad or #affiliate hashtags must be prominent and not buried
21.6 Intellectual Property Usage
Approved Materials Only:
- Affiliates may only use VeriDeal trademarks, logos, and marketing materials that we expressly approve
- Materials must be used as provided without modification
- Must not imply endorsement, partnership, or sponsorship beyond the affiliate relationship
Prohibited Uses:
- Modifying our logos, trademarks, or copyrighted content
- Creating derivative works or altered versions of our materials
- Using our intellectual property in ways that damage our reputation
- Misrepresenting or mischaracterizing our Services
License Grant: We grant Affiliates a limited, non-exclusive, non-transferable, revocable license to use approved marketing materials solely for promoting VeriDeal during the term of the affiliate relationship.
21.7 Relationship and Responsibilities
Independent Contractor Status:
- Affiliates are independent contractors, NOT employees, partners, agents, or joint venturers
- No employment relationship exists between VeriDeal and Affiliates
- Affiliates have no authority to bind VeriDeal or make commitments on our behalf
Affiliate Responsibilities:
- Compliance with all applicable laws, regulations, and tax obligations
- Payment of own taxes, including self-employment and income taxes
- Maintenance of necessary business licenses and insurance
- Coverage of own business expenses and operational costs
- Compliance with privacy laws (GDPR, CCPA, etc.) when collecting user data
No Benefits: Affiliates are not entitled to:
- Employee benefits (health insurance, retirement plans, etc.)
- Workers compensation coverage
- Unemployment benefits
- Any employee-related protections or rights
21.8 Tracking and Reporting
Tracking Mechanism:
- Commissions are tracked via unique affiliate links and cookies
- Cookie duration and attribution windows are specified in the affiliate dashboard
- You are responsible for using provided tracking links correctly
Reporting:
- Access real-time performance data through the affiliate dashboard
- Reports may include clicks, conversions, and commission earnings
- We reserve the right to audit affiliate activities for fraud prevention
Data Accuracy: While we strive for accurate tracking, we are not liable for technical issues, cookie deletion, or tracking failures that affect commission calculations.
21.9 Termination of Affiliate Relationship
Termination by Either Party:
- Either party may terminate the affiliate relationship at any time, with or without cause
- Affiliates may terminate by ceasing promotional activities and notifying us
- VeriDeal may terminate immediately for violations of these Terms
Immediate Termination Grounds:
- Violation of prohibited activities (Section 21.4)
- Fraudulent or illegal conduct
- Damage to VeriDeals reputation or brand
- Non-compliance with disclosure requirements
- Failure to meet performance standards (if applicable)
Effect of Termination: Upon termination:
- Affiliate must immediately cease all promotional activities
- Affiliate must remove all VeriDeal trademarks, links, and marketing materials
- Earned commissions will be paid according to the affiliate platform terms (subject to minimum thresholds and payment schedules)
- Pending or unverified commissions may be forfeited
- The license to use VeriDeal intellectual property is immediately revoked
21.10 Program Modifications
Right to Modify: We reserve the right to:
- Modify commission rates, payment terms, or program structure at any time
- Add or remove program requirements
- Discontinue the Affiliate Program entirely
- Change tracking mechanisms or reporting tools
Notice of Changes:
- Material changes will be communicated through the affiliate platform or via email
- Continued participation after notice constitutes acceptance of changes
- Non-material changes may be implemented without advance notice
No Guarantee: We do not guarantee any minimum commission amounts or payment levels, continued availability of the Affiliate Program, or that affiliate links will always generate commissions.
21.11 Affiliate Representations and Warranties
By participating in the Affiliate Program, you represent and warrant that:
- All information provided in your application is accurate and complete
- You will comply with all applicable laws, regulations, and these Terms
- Your promotional methods will not violate third-party rights
- You have the legal capacity and authority to enter into this agreement
- You will not engage in any prohibited activities
22. U.S. Government End Users
If you are a U.S. government end user, the Services are "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. §12.212. Consistent with 48 C.F.R. §12.212 and 48 C.F.R. §227.7202-1 through 227.7202-4, U.S. government end users acquire the Services with only those rights set forth in these Terms.

- You understand that VeriDeal is a beta service with inherent limitations
- You accept the risks associated with using beta software
- You waive any right to a jury trial and agree to binding arbitration

- You are at least 18 years old and have legal capacity to contract
